GENERAL SALE INFORMATION
PARTICIPATING IN THE BID PROCESS


IDENTIFY THE MARKET AREAS YOU ARE INTERESTED IN
BP/NRC have sales in the greater Atlanta, Georgia market area, the greater Chicago, Illinois market area, the Ohio market area (extending to Pittsburgh), and the West Coast market area, including California, Arizona, Oregon, and Washington. In addition, BP/NRC is conducting a nationwide sale of Commercial Properties.

Sale specific site lists and individual site information are available for your review. Sale specific dates and information can be found there as well.

REGISTER WITH NRC AND ORDER BROCHURES FOR THE MARKET AREAS THAT YOU ARE INTERESTED IN
Color sales brochures will be available for each of the markets offered. Brochures include market specific sale information, the terms and conditions of each sale, important sale dates and site specific information.

CALL NRC AT 1-800-747-3342 TO REGISTER FOR THE BP FRANCHISE AND HOW-TO-BID SEMINAR IN YOUR AREA
In order to do this, you should call NRC at 1-800-747-3342. You will be required to complete the following items prior to being able to register for the seminar:
CONFIDENTIALITY AGREEMENT
This can be provided to NRC in one of three ways:
  • Order a site's sales data on the BP/NRC website and you will be asked to complete it electronically
  • Download it from the BP/NRC website and fax to NRC as directed on the form, or
  • Call NRC and request a faxed copy and fax to NRC as directed on the form.
FRANCHISEE/DEALER APPLICATION
This form can be downloaded from the website or you can contact NRC to fax you a copy. Once you have completed the entire form, fax it back to NRC as directed on the form.
ATTEND THE BP FRANCHISE AND HOW-TO BID SEMINAR
Each prospective bidder that intends to submit a sealed bid for a Franchise Property is required to attend the BP Franchise and How-To-Bid Seminar (Seminar) in their area. Any sealed bids submitted for a Franchise Property by prospective bidders that fail to attend the Seminar may be disqualified from consideration and rejected so it's very important to attend. The Seminar provides prospective bidders with important information about BP franchising and the NRC sealed bid process. Sale specific Seminar information is available on the web page or in the sale brochure.

IDENTIFY THE SITES YOU ARE INTERESTED IN EITHER PRIOR TO OR JUST AFTER ATTENDING THE SEMINAR
Contact NRC to order the Property Specific Package (PSP) for those Properties. A PSP for each Property is available from NRC and contains site specific due diligence information as described below and the Bid Package for submitting a sealed bid for such Property. Each PSP is available in hard copy and CD-ROM format at a cost of $35 and $25, respectively, including second day shipping. Prior to receiving a PSP, each prospective bidder is required to deliver to NRC a fully completed and signed Franchisee/Dealer Application and a signed Confidentiality Agreement. PSPs will contain the following information, as available:
  • Store Sales Information (prior five years, displayed monthly)
    • Retail Sales
    • Fuel Sales (Gallons)
    • Car Wash Sales, as applicable
  • Tank and Line Information (Gasoline Stations)
    • Tank and line configuration, size and type
    • Tank and line tightness reports
  • Environmental Reports
  • Title Report
  • Leases, as applicable
  • Permits and Licenses
  • Surveys (ALTA/ACSM Land Title Survey and/or Site Plans)
  • Bid Package
    • Bidding Instructions
    • Purchase and Sale Agreement
    • Sealed Bid Envelope
DO YOUR HOMEWORK PRIOR BIDDING
Do not wait until the last minute to get organized. The more you are prepared going into the Offer Due Date, the easier the closing process will be for you. In the weeks between the Seminar and the Offer Due Date, you should:
  • Review the information and contract contained in the PSP and discuss with your lender, legal counsel and other advisors,
  • Contact the NRC Sales Team to discuss the sites you are interested in detail, and
  • Begin the process of setting up your purchase entity and qualifying for a loan.
SEND IN YOUR CONFORMING BID BY THE OFFER DUE DATE. Each site you bid on should be submitted in a different envelope and should contain:
  • A 2.5% Deposit for that site,
  • Three original signed copies of the Purchase and Sale Agreement without alteration, and
  • A completed bid form.
